Terms of Use

Language note: These Terms of Use were prepared in Bulgarian. The Bulgarian text is binding. Translations (including this English version) are provided for convenience only, and in case of any discrepancy the Bulgarian text prevails.

1. Information about the provider

In accordance with the Bulgarian Consumer Protection Act (ZZP) and Electronic Commerce Act (ZET), the provider of the services of the Huddle platform is:

2. Introduction

These Terms of Use (the "Terms") govern your access to and use of the Huddle platform — the iPhone app and the website onhuddle.co — including all features, content and services: event discovery, profiles, connections, messages, Spaces, Hubs, Beacons, creating and organising events, and ticket sales.

The processing of personal data is described in the Privacy Policy. The rules of conduct are in the Community Guidelines, which form an integral part of these Terms.

3. Acceptance of the Terms

How you accept the Terms. By continuing past the sign-in screen and creating an account (with an email code, with Apple or with Google), you accept these Terms, the Privacy Policy and the Community Guidelines, including the zero-tolerance policy for objectionable content and abusive behaviour (section 5). We record the date and version of the Terms you accepted. If you use the website without an account, these Terms apply to the extent relevant.

By using Huddle, you confirm that:

  • you are at least 16 years old; if you are 16 or 17, you have the consent of a parent or guardian;
  • you have the right and capacity to enter into a contract binding you to these Terms;
  • you will use the platform only for lawful purposes and in accordance with these Terms;
  • the information you provide is accurate, current and complete.

If you use the platform on behalf of an organisation, you declare that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, do not use the platform.

4. User accounts

Huddle does not use passwords. You sign in with a one-time code sent to your email, with "Sign in with Apple", with "Sign in with Google" or with a passkey. You undertake to:

  • provide accurate information and keep it up to date;
  • protect access to your email and to the devices you are signed in on, as they give access to your account;
  • not share sign-in codes with anyone;
  • notify us immediately at [email protected] of any unauthorised use of your account.

You are responsible for actions taken through your account, unless they result from a breach on our part. You may not transfer or sell your account.

5. Zero tolerance for objectionable content and abusive behaviour

Huddle applies a zero-tolerance policy towards objectionable content and towards users who abuse other people. Anywhere on the platform — in profiles, photos, messages, events, beacons, spaces, hubs, albums and reviews — you may not post or send:

  • sexual content or nudity; any sexual content involving minors;
  • harassment, threats, intimidation or stalking;
  • hate speech or attacks based on race, ethnicity, religion, gender, sexual orientation, disability or nationality;
  • graphic violence or cruelty;
  • illegal activities, including the sale of illegal goods;
  • spam, scams or impersonation of another person or organisation;
  • other people's personal information without their consent.

The details are in the Community Guidelines. We act on reports of objectionable content and abusive behaviour within 24 hours. When a violation occurs, we remove the content. Serious or repeated violations lead to immediate termination of the account, without notice. We may report violations to the competent authorities. Every user can report content or a user and can block a user (section 6.3).

6. User content and moderation

6.1. Rights in content

You keep the rights in the content you post ("User Content"). By posting it, you grant us a non-exclusive, royalty-free, worldwide licence to store, reproduce, technically adapt (e.g. resize photos, translate), distribute and display it, to the extent necessary to provide and promote our services. The licence ends when you delete the content or your account, except for content you have shared with others (e.g. messages in a group chat) and for copies we are required to keep by law.

You declare that you hold the necessary rights in your User Content and that it does not infringe the law or the rights of third parties, including the rights of people who appear in your photos.

6.2. Moderation

  • Photos are checked automatically before they are shown. Events are checked before they become public. Profile and space texts are checked when saved, and messages automatically after they are sent.
  • Doubtful content is held for human review. Content with severe violations may be rejected automatically.
  • We may remove, hide or refuse to publish content that breaches these Terms, the Community Guidelines or the law, or the rights of third parties.
  • If we remove your event, we will notify you and you can appeal in the app. For other decisions write to [email protected]. Appeals are reviewed by a person.

6.3. Reports and blocking

  • You can report profiles, direct and group messages, questions in hubs, beacons, events, album photos and notes, venue reviews and hubs through the "⋯" menu or by long-pressing the content.
  • Reporting content hides it from you immediately. When several different users report the same content, it is shown to everyone behind a "sensitive content" warning. All reports go to Huddle's moderators, who can remove the content; reports about messages in a space also reach that space's moderators.
  • You can block any user. Blocking is two-way and silent: you stop seeing each other, any connection between you is ended and direct messages are hidden. The blocked user is not notified.

6.4. Procedure for reporting illegal content

If you believe that content on Huddle is illegal or infringes your rights, besides reporting it in the app you can notify us:

  • Email: [email protected], with the subject "Report of illegal content".
  • Information needed: your name and email; the exact link (URL) or a description of where the content is; an explanation of why you believe it is illegal; a statement that the notice is submitted in good faith and the information in it is accurate.
  • Timeframe: we will acknowledge receipt and review the notice without undue delay — as a rule within 48 hours. We will inform you of our decision and of the ways to challenge it.
  • Appeal: if you disagree with the decision, you can write to [email protected] for a review, or turn to the competent authority or court.

Abuse of this procedure by submitting manifestly unfounded notices may lead to your access to it being restricted or to termination of your account.

7. Events, beacons, spaces and hubs

When you create events, beacons, spaces or hubs, you undertake to:

  • provide accurate and truthful information (date, place, price, conditions);
  • hold the rights and permits needed to organise the event;
  • comply with applicable laws, including on safety, tax and consumer protection;
  • update or cancel events promptly when things change;
  • process participants' data only for the purposes of the event and in compliance with data protection law.

We may review, edit, refuse to publish or remove an event or other content that breaches these Terms, the rights of third parties or the law, or that may harm users.

Meeting in person. Huddle helps people meet in person. We do not verify users' identities and are not responsible for their behaviour outside the platform. Meet in public places, tell someone close to you where you are going, and report any worrying behaviour.

Events from external sources. Huddle also shows events from public sources and ticketing platforms. Buying tickets on external websites is governed by the terms of the website concerned.

8. Paid tickets

8.1. Who sells the ticket

Tickets for paid events on Huddle are sold by the event's organiser. The organiser is the trader under the ticket contract: they set the price, the refund conditions and the content of the event and are responsible for holding it. Huddle provides the platform and payment processing through Stripe and is not a party to the contract between you and the organiser. The organiser's name is shown on the event page.

8.2. Prices and payment

  • Prices are shown in euro (or in the currency set by the organiser) and are final for the buyer.
  • You pay by bank card or with the other methods Stripe shows at checkout. Card details are entered directly into Stripe and never reach us.
  • The payment receipt is issued in the organiser's name.
  • Huddle receives a fee from the organiser, which is deducted from the amount paid out to the organiser. The fee is not added to the buyer's price.

8.3. Cancellation and refunds

  • Refund conditions are set by the organiser and shown with the event. The refund amount is calculated under the conditions in force at the time of cancellation. If the organiser has not set such conditions, refunds are at the organiser's discretion.
  • If the organiser cancels the event, the organiser decides whether and how to refund and is liable to you for this under the law. We will notify you of the cancellation.
  • Right of withdrawal: under Art. 57(12) of the Bulgarian Consumer Protection Act, the 14-day right of withdrawal from a distance contract does not apply to services related to leisure activities (such as events) where the contract provides for a specific date or period of performance.
  • Refunds are returned to the same payment method through Stripe.

8.4. For organisers

To sell tickets you must create a Stripe Connect account and accept Stripe's terms. Stripe verifies your identity and pays out your revenue. As an organiser you are the trader under the contract with the buyer and are responsible for: the accuracy of the event information, holding the event, refunds, issuing documents, taxes (including VAT), and disputes and chargebacks. Cancelling an event does not refund money automatically — refunds are made only if you explicitly confirm them.

9. Digital features free during launch

Hub VIP membership and hub plans are free during Huddle's launch period. No payment is taken for them. A hub owner can set a future monthly price in the hub dashboard; it is not charged during launch, and members see these features as free. If we introduce a price for these features in the future, we will notify you at least 30 days in advance and will never charge you without your explicit agreement to the price.

10. Prohibited activities

When using the platform you undertake NOT to:

  • break laws or infringe the rights of others, including intellectual property rights;
  • post fraudulent, misleading or discriminatory content;
  • send spam, phishing or malware;
  • attempt to gain unauthorised access to our systems or to other people's accounts;
  • impersonate another person or organisation;
  • collect data from the platform by automated means (scraping) without our written permission;
  • harass or abuse other users;
  • use the platform for illegal activities or fraud;
  • circumvent technical restrictions, security measures, blocks or bans;
  • create a new account after your account has been terminated for a violation.

11. Intellectual property

The platform, including the software, design, text, graphics, logos and trademarks, except User Content and third-party content, is the property of "Support Wing" EOOD or its licensors and is protected by Bulgarian and international law. We grant you a personal, non-exclusive, non-transferable and revocable licence to use the platform for personal purposes in accordance with these Terms. You may not copy, sell or use the platform or parts of it for commercial purposes without our written consent.

If you use the iPhone app, Apple is not responsible for the app or its content and has no obligation to provide support. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you as a user of the app.

12. Disclaimer

The platform is provided "as is" and "as available". To the extent permitted by law, we do not guarantee that:

  • the platform will work uninterrupted or without errors;
  • event information, especially from external sources, is accurate, complete or current;
  • other users will behave in a particular way.

We are not responsible for events organised by third parties or for the accuracy of information about them.

13. Liability and limitations

For consumers (natural persons acting outside their trade or profession): the limitations of liability in these Terms do not apply to:

  • damage caused intentionally or through gross negligence;
  • damage to life, health or physical integrity;
  • breach of essential contractual obligations;
  • mandatory rights under the ZZP and other applicable law.

For business users (B2B): to the extent permitted by law, Huddle and its employees, managers, representatives and partners are not liable for indirect, incidental, special or consequential damage, loss of profit, loss of revenue, data or reputation, or business interruption. Our total liability to a business user for all claims (except damage caused intentionally or through gross negligence) does not exceed the greater of: (a) the fees you paid us in the last 12 months, or (b) EUR 500.

For all users: we are not liable for the acts or omissions of third parties, including organisers and other users, for information provided by third parties, or for circumstances beyond our control (force majeure, outages at internet providers, etc.), to the extent permitted by law.

14. Indemnity

If you use the platform for professional or commercial purposes, you agree to indemnify Huddle and its employees, managers, representatives and partners against all claims, damage, losses and costs, including reasonable legal fees, arising from: your breach of these Terms or of third-party rights; your User Content; your events and the sale of tickets for them.

If you are a consumer (a natural person), this obligation applies only in cases of intentional breach of the law or of these Terms, gross negligence or fraud on your part, in accordance with the ZZP.

15. Termination

By you: you can delete your account at any time in the app (Settings → "Delete account"). Deletion is immediate and permanent. If you organise upcoming events, you must cancel or delete them first.

By us: we may restrict, suspend or terminate your access:

  • immediately and without notice — for a serious or repeated breach of these Terms or of the Community Guidelines (section 5), for fraud, where there is a risk to other people's safety, or where the law requires it;
  • with 30 days' notice — if we stop providing the service altogether.

We will tell you the reason unless the law prohibits it. You can challenge the decision as described in section 6.2. Termination does not affect rights and obligations that arose before it, including the rights of people who bought tickets for your events.

16. Governing law and disputes

These Terms are governed by the law of the Republic of Bulgaria. If you are a consumer, these Terms do not affect your mandatory rights under the ZZP, the ZET, the GDPR and the ZZLD, and other mandatory Bulgarian and European law. In case of conflict, the mandatory provisions apply.

Business users: disputes are settled by the competent court in Sofia, Bulgaria.

Consumers: you can bring a claim before the competent court where you live under the Bulgarian Civil Procedure Code and Regulation (EU) No 1215/2012. You can also turn to the Commission for Consumer Protection (Комисия за защита на потребителите, www.kzp.bg) and its conciliation committees for consumer disputes for out-of-court resolution of the dispute.

17. Changes to the Terms

We may amend these Terms to reflect changes in the services, the law, or for other legitimate reasons.

  • Material changes that affect your rights or obligations will be communicated to you at least 30 days before they take effect, by email or with a visible notice in the app.
  • Non-material changes (technical, editorial) take effect when published with a new "Last updated" date.

If you do not agree to the changes, you can delete your account before they take effect. Continuing to use the platform after that means you accept the amended Terms. Changes do not affect rights already acquired and do not apply to tickets already bought.
